ALLEN M. MANDELBAUM, is a solo practitioner with offices in Norristown, PA, engaged in business and municipal law, civil litigation and general practice. Emphasis is placed upon assisting clients in all areas pertaining to real estate, the formation and operation of all forms of business entities, including corporations, partnerships, joint ventures and unincorporated associations and in commercial transactions. 

Real Estate Law: 
I emphasize residential and commercial real estate transactions, closing in excess of 75 residential real estate transactions annually. My professional services include drafting and review of purchase agreements, review of title searches, surveys and all related property issues such as easements and encroachments, negotiation and reconciliation of contractual conflicts, review of lender loan documents and representation of settlement.  My clients include brokers, developers and builders, homeowner and condominium associations, as well as real estate agents and individual homeowners. 

Business Law:
I regularly engages in assisting growing, closely-held businesses realize their vision for the future in selecting the form of business entity, finance and investments, mergers and acquisitions, employment and distributorsgavelhip agreements, joint ventures, technology licensing, and other methods of exploiting intellectual property rights.  All services are regularly provided for corporations, partnerships, and limited liability companies.  In addition, I regularly engage in assisting individuals and small closely held corporations in business contracts, acquisitions, business negotiations and pension and profit sharing plans. 

With regard to business I regularly engage in addressing the tax, business, securities, and accounting aspects of various entity choices and structures, including limited liability companies and other flow-through tax entities; raising venture capital and financing expansion; the relationships of entities under joint venture structures; compensating key employees; structuring buy-outs and recapitalizations; and succession planning for the company and its stockholders. I also address estate and income tax planning for stockholders and allocating control among management and stockholder groups.

Entertainment/Video Production: 
I devote a substantial amount of my practice to representing producers, directors and video production companies for both commercial and industrial video production.  I am general counsel to several production companies who are developers of television productions presently syndicated throughout the United States and the United Kingdom. 

Wills & Trusts: 
I devote a significant amount of my practice to addressing the estate planning needs of my clients.  Emphasis is provided to business succession plans, trusts and estate asset preservation.

Litigation: 
I maintain an active litigation department representing clients in both county and federal courts at trial and on appeals.  I am admitted to practice in all State and Federal Courts in Pennsylvania, and am a member of the American and Pennsylvania Trial Lawyers Association.
