About Allen M. Mandelbaum

I maintain a law practice in Plymouth Meeting, Pennsylvania, a suburb of Philadelphia, PA, and concentrate my practice on contract law with attention towards residential and commercial real estate transactions, and transactional matters involving clients ranging from sole proprietorships to publicly held corporations engaged in a variety of business pursuits.  

I have broad experience in business formation, acquisitions, mergers and divestitures, as well as negotiation and preparation of employment agreements, and operating, shareholders’ and partnership agreements.  I also provide advice regarding capital formation, where I have substantial background handling private placements and assisting in public offerings and acting securities counsel for companies subject to the Securities Act of 1933 and the Securities Exchange Act of 1934.

I counsel a variety of start-up and emerging companies, particularly technology-oriented businesses, regarding the planning, financing and operation of their businesses, technology licensing, and other methods of exploiting intellectual property rights.  All services are regularly provided for corporations, partnerships, and limited liability companies.

My practice serves clients in Philadelphia, Montgomery, Delaware, Chester & Bucks Counties with an emphasis on handling cases involving zoning, comprehensive planning, environmental laws and regulations throughout Pennsylvania for private citizens, public interest organizations, environmentally-sensitive corporations and green businesses.

I also maintain an active litigation department representing clients in both county and federal courts at trial and on appeals.
